Terms of Service

These Terms of Service ("Terms") are a binding agreement between you (and, if you act for a business, that business) and Kaamai LLC, a New Jersey limited liability company, 61 Ariel Court, Branchburg, NJ 08853 ("Kaamai," "we," "us"). They govern your use of the Kaamai restaurant back-office software, websites, messaging, voice, and related services (the "Service"). By registering for, accessing, or using the Service — including by texting TRY, checking an acceptance box, or placing an order through the Service — you agree to these Terms. If you do not agree, do not use the Service. You represent that you are at least 18 years old, a U.S. resident, and authorized to bind your business.

1. The Service

Kaamai provides AI-assisted restaurant back-office tools: vendor order intake over text, voice, and email; invoice capture and matching; inventory tracking; vendor communications; analytics; and a vendor marketplace. Features vary by plan. We may modify, suspend, or discontinue any feature at any time.

2. AI outputs must be reviewed — your responsibility

The Service uses artificial intelligence to parse orders, transcribe calls, classify replies, and match invoices. AI output can be wrong. Quantities, prices, vendor matches, transcripts, and classifications require your review before you act on them. You are solely responsible for every order you approve, payment you make, and message you send using the Service, including orders created from AI-parsed text. Kaamai is not liable for mis-shipped or duplicate orders, over- or under-payments, missed invoices, stockouts, or any business decision you make based on Service output. Nothing in the Service is accounting, legal, or tax advice.

3. Your account and conduct

You must provide accurate registration information, keep credentials confidential, and promptly update business, billing, and contact details. You are responsible for all activity under your account, including by your staff. You agree not to: (a) use the Service for any unlawful purpose; (b) send unsolicited, deceptive, or unlawful communications; (c) upload phone numbers or contact anyone without legally required consent (see §4); (d) abuse, resell, reverse-engineer, or impair the Service; (e) misrepresent your identity or affiliation.

4. Messaging, voice, and communications compliance

Your numbers are your responsibility. For every phone number you load into the Service (vendors, staff, leads), you represent and warrant that you have all consent required by the Telephone Consumer Protection Act (TCPA), CTIA guidelines, carrier rules, and applicable state laws to send transactional and operational messages and place calls to that number, and that you will honor opt-outs promptly. Kaamai provides STOP/HELP handling and per-number opt-out tooling as a convenience; compliance remains yours.

Messages you send through shared Kaamai numbers are identified as coming via Kaamai. Message and data rates may apply. Message frequency varies. Recipients may reply STOP to opt out or HELP for help at any time.

AI voice calls. Calls placed by Kaamai's AI agents disclose that the caller is an AI assistant. Calls may be recorded and transcribed for order accuracy and quality; by using the voice features you consent to recording, and you agree to comply with all-applicable call-recording and AI-disclosure laws in your jurisdiction and your call recipients' jurisdictions. You shall not use AI voice features for cold calling in violation of telemarketing laws; our sales-calling tools require you to supply warm leads with documented prior consent, and misuse is grounds for immediate suspension.

5. Vendor marketplace — Kaamai is the venue, not the deal

Where the Service connects restaurants and vendors (directory, profiles, ordering, confirmations), Kaamai is a software venue only. Kaamai is not a party to, broker of, or guarantor of any restaurant-vendor transaction and has no liability for vendor performance, product quality or safety, delivery, pricing, availability, or payment between you and any vendor (or restaurant). Verification tiers and scorecards reflect information available to us and are provided as-is; they are not warranties. Disputes over goods, delivery, or payment are strictly between the transacting parties.

6. Trials, billing, and refunds

Paid plans bill per location per the pricing on our site, plus applicable taxes. Trials (including 7-day trials) require a valid payment method; if you do not cancel before the trial ends, billing begins automatically. Trials that do not convert are access-limited until a payment method is added. Fees are non-refundable except where required by law; canceling stops future charges but does not refund the current period. You authorize Kaamai and its payment processor (Stripe) to charge your payment method. Failed payments may result in suspension after notice. We may change prices with 30 days' notice to the account email.

7. Data, confidentiality, and feedback

Our handling of personal information is described in our Privacy Policy, incorporated here by reference. You retain ownership of your business data. You grant Kaamai a worldwide license to host, process, transmit, and display it as needed to operate the Service. Anonymized, aggregated data may be used to improve the Service. Suggestions and feedback may be used by Kaamai without restriction or compensation.

8. Warranties disclaimed

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express, implied, or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, and uninterrupted or error-free operation.

9. Limitation of liability

To the fullest extent permitted by law, Kaamai LLC, its members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, business, goodwill, data, or anticipated savings, arising from or related to the Service, even if advised of the possibility.

Kaamai's total aggregate liability for all claims arising from or related to the Service or these Terms shall not exceed the amounts you actually paid to Kaamai in the three (3) months preceding the event giving rise to the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions liability is limited to the minimum extent permitted by law. The limitations in this section are essential terms without which Kaamai could not offer the Service at its prices.

10. Indemnification

You agree to defend, indemnify, and hold harmless Kaamai LLC and its members, officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms or applicable law (including messaging, calling, privacy, and telemarketing laws); (c) communications you send or calls you direct through the Service; (d) your transactions with vendors or restaurants; or (e) your content and data.

11. Suspension and termination

We may suspend or terminate your access immediately for nonpayment, suspected abuse, unlawful use (including messaging/voice misuse), or risk to the Service or third parties. You may cancel at any time; cancellation stops future charges per §6. On termination we may delete your data after a reasonable retention window per our Privacy Policy. Sections 2 and 7–14 survive termination.

12. Dispute resolution; arbitration; governing law

Binding arbitration; class-action waiver. Please read carefully — it affects your rights. Any dispute arising from or related to the Service or these Terms shall be resolved exclusively by binding individual arbitration administered by JAMS under its rules, held in Somerset County, New Jersey (or by video), and you and Kaamai each waive any right to a jury trial and to participate in any class, collective, or representative action. Either party may seek individual injunctive relief in a court of competent jurisdiction, and either party may bring an individual claim in small-claims court. These Terms are governed by the laws of the State of New Jersey, without regard to conflicts principles. If the arbitration agreement is found unenforceable, exclusive venue lies in the state or federal courts of Somerset County, New Jersey.

13. General

Force majeure events excuse performance (except payment). You may not assign these Terms without our consent; we may assign in connection with a merger or sale. If any provision is unenforceable, the remainder continues in full force. Our failure to enforce a provision is not a waiver. These Terms plus the Privacy Policy are the entire agreement for the Service.
